1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Vecteur Labs Inc. ("Vecteur Labs", "we", "us", "our"). By accessing our website at vecteurlabs.com or using any of our software products and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 16 years old to use our services. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

Certain services require account registration. When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and account credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

4. Use of Services

4.1 Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services in accordance with these Terms and applicable law.

4.2 Prohibited Use

You agree not to:

• Use automated tools (bots, scrapers, crawlers) without our prior written consent.
• Transmit viruses, malware, or other harmful code.
• Interfere with or disrupt the integrity or performance of our services.
• Harass, abuse, or harm any other user or Vecteur Labs personnel.

5. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilations — are the exclusive property of Vecteur Labs or its licensors and are protected by international copyright, trademark, and intellectual property laws.

The Vecteur Labs name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vecteur Labs. You may not use them without our prior written permission.

6. User Content

You retain ownership of any content you create, upload, or store through our services ("User Content"). By uploading User Content, you grant Vecteur Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your content solely for the purpose of providing and improving our services.

You are solely responsible for your User Content and represent that you have all necessary rights to it.

7. Payment Terms

• Fees for paid services are specified in your subscription agreement or order form.
• All fees are non-refundable unless otherwise stated in writing.
• We reserve the right to change pricing with 30 days' notice to existing customers.
• Failure to pay may result in suspension or termination of your account.
• Applicable taxes are the responsibility of the User unless otherwise stated.

8. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or security reasons. Scheduled maintenance will be announced with reasonable advance notice when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VECTEUR LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of or inability to access or use the services.
• Any conduct or content of any third party on the services.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability for all claims relating to the services shall not exceed the amounts paid by you for the services in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vecteur Labs and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the services or violation of these Terms.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the services ceases immediately.
• We will provide a 30-day window for you to export your data.
• After the export window, we may delete your data in accordance with our data retention policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Montreal, Quebec, Canada.

13. Dispute Resolution

Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute through good-faith negotiations within 30 days.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Vecteur Labs regarding the use of our services and supersede all prior agreements.
